CONDITIONS OF SALE FOR ONLINE PURCHASES

These Conditions of Sale are for Artists Meet Artists Online Purchases (each an “Online Purchase”) including any Artists Meet Artists artwork purchased by you. Please read these Conditions of Sale carefully before participating in any Online Purchase. These Conditions of Sale contain the terms on which Artists Meet Artists LLC (“AMA”, “we”, “our”, “us”, “seller”) contract with you for your Online Purchase (as the context requires “you”, “your”, “buyer”, “buyers”).

1. CONDITIONS OF SALE

By purchasing and paying for an Online Purchase, you the buyer agree to be bound by these Conditions of Sale as modified by any additional notices or terms published and made available to you.

2. AMA AND CONTRACT OF SALE

AMA acts in a principal capacity as seller, and AMA or an affiliated company may have a legal, beneficial or financial interest in an artwork as a secured creditor or otherwise.

3. DESCRIPTIONS, TITLES, SECTION USE OF ARTIST NAMES, CATEGORIES, TAGS, NAMED VISUAL ARTIST (PAINTING) STYLES

The Artists Meet Artists artwork is a brilliant transformative piece of art, as is each unique section of the fantastical artwork. As envisaged and then passionately created, Artists Meet Artists is a technically masterful, thought provoking, intellectually stimulating, emotion evoking, historically and culturally significant, didactic, immense, unequivocally transformative one-of-a-kind work of art, comprising 25,600 such individually qualifying works of art from the pioneering state-of-the-art Artists Meet Artists creation.

Each of the individual 25,600 pieces of generative art, collectively Artists Meet Artists, exclusively envisions one of 36 among the greatest musical artists of our lives having an opportunity to meet and be painted in the style of one of 69 of the greatest visual artists (painters) of the past six centuries, each distinctive square an artistic fantasy Artists Meet Artists pairing, most requiring time travel!

As an example, 1 of the 25,600 sections, named “Taylor Swift in the Style of Leonardo da Vinci   1” is, as described above, a transformative artwork that imagines a fantastical meeting whereby the Musical Artist Taylor Swift (1989 –     ) meets and is painted by the Visual Artist (Painter) Leonardo da Vinci (1452 – 1519).

Obviously, such an imaginary meeting never happened, and never could happen. Time travel does not exist. Stated as simply and clearly as possible, obviously, Leonardo da Vinci, who died in 1519, more than 500 years ago, NEVER met, NEVER could meet, could NEVER paint or have EVER in the past painted Taylor Swift, because Taylor Swift was not born until 1989, 470 years after Leonardo da Vinci died.

IN THE SENTENCE ABOVE YOU CAN (i) REPLACE “TAYLOR SWIFT” WITH THE NAME OF ANY OTHER MUSICIAN TRANSFORMATIVELY ARTISTICALLY IMAGINITIVELY VISUALIZED AND GENERATED WITHIN ANY 1 OR MORE OF THE 25,600 SECTIONS OF THE ARTWORK ARTISTS MEET ARTISTS, AND YOU CAN (ii) REPLACE “LEONARDO DA VINCI” WITH THE NAME OF ANY OF THE 69 OR MORE OTHER VISUAL ARTISTS (PAINTERS) STYLES TRANSFORMATIVELY ARTISTCIALLY IMAGINITIVELY VISUALIZED AND GENERATIVELY CREATED IN ANY 1 OR MORE OF THE 25,600 SECTIONS OF AND WHICH COLLECTIVELY IS THE ARTWORK ARTISTS MEET ARTISTS. NO SUCH MEETING OR MEETINGS EVER OCCURRED. NOT ONE OF THE 36 OR MORE MUSICIANS TRANSFORMATIVELY ARTISTICALLY IMAGINITIVELY AND GENERATED WITHIN OR MENTIONED BY US IN ANY MANNER WHATSOEVER EVER MET, AND WAS NEVER PAINTED BY, ANY ONE OF THE 69 OR MORE VISUAL ARTISTS (PAINTERS) WHOSE STYLES ARE REFERENCED IN ANY 1 OR MORE OF THE 25,600 SECTIONS OF, AND WHICH COLLECTIVELY IS, THE ARTWORK ARTISTS MEET ARTISTS.

THE ENTIRE ARTISTS MEET ARTISTS GENERATIVE ARTWORK, AND EACH 1 OF THE 25,600 SECTIONS THEREIN THAT COLLECTIVELY IS THE ARTWORK ARTISTS MEET ARTISTS, IS A FANTASY. NO MUSICIAN THAT INSPIRED THE TRANSFORMATIVE IMAGINATIVE CREATIVE THOUGHTS BEHIND OUR CREATION OF THE ARTWORK, OR THAT IS THE SUBJECT OF ANY 1 OR MORE OF THE 25,600 SECTIONS THEREIN THAT COLLECTIVELY IS THE ARTWORK ARTISTS MEET ARTISTS, WHETHER THAT MUSICIAN IS NOW DEAD OR IS STILL LIVING TODAY, EVER MET ANY ONE OF THE VISUAL ARTISTS (PAINTERS) THAT INSPIRED US, WHETHER THAT VISUAL ARTIST (PAINTER) IS NO LONGER LIVING OR THAT VISUAL ARTIST (PAINTER) IS STILL LIVING TODAY, TO THE BEST OF OUR KNOWLEDGE.

TO BE REDUNDANTLY AND REPETITIVELY CLEAR, ANY OF THE 25,600 SECTIONS THEREIN THAT COLLECTIVELY IS THE ARTWORK ARTISTS MEET ARTISTS IS AN ARTISTIC FANTASY.

AS ANOTHER EXAMPLE, THIS INCLUDES, ANY SECTION TITLED AS OR SIMILAR TO LADY GAGA IN THE STYLE OF GEORGE CONDO. HAPPILY, AS FAR AS WE KNOW, BOTH LADY GAGA AND GEORGE CONDO ARE ALIVE AND WELL. DESCRIPTIONS AND TITLES OF SECTIONS OF THE ARTWORK INCLUDE REFERENCES TO ONE OR MORE MUSICAL ARTISTS (MUSICIANS), INCLUDING SOME NO LONGER LIVING, AND MANY THAT ARE INDEED ALIVE AND WELL AND EXPECTED TO BE SO FOR MANY DECADES TO COME. ANY MUSICAL ARTIST (MUSICIAN) MENTIONED OR WHOSE NAME IS WITHIN THE TITLE OR DESCRIPTION OF ANY SECTION WITHIN AND WHICH COLLECTIVELY IS THE ARTWORK ARTISTS MEET ARTISTS HAS NO AFFILIATION WITH, HAS NO CONNECTION WITH, AND HAS NO ASSOCIATION WITH ARTISTS MEET ARTISTS OR AMA. NO MUSICAL ARTIST (MUSICIAN) THAT WE MENTION ANYWHERE HAS SPONSORED OR APPROVED OF THE ARTISTS MEET ARTISTS ARTWORK OR ANY OF THE INDIVIDUAL 25,600 SECTIONS WITHIN IT WHICH COLLECTIVELY IS THE ARTISTS MEET ARTISTS ARTWORK, NOR ANY BYPRODUCT THEREOF.

THE ARTISTIC RELEVANCE OF THE TITLE, DESCRIPTION AND CATEGORY CODE OF EACH INDIVIDUAL UNIQUE SECTION OF THE ARTWORK ARTISTS MEET ARTISTS INCLUDING THE NAME OF A MUSICAL ARTIST (MUSICIAN) IS IT IS THAT MUSICAL ARTIST (MUSICIAN) THAT (A) INSPIRED OUR FANTASTICAL IMAGINATION AND CREATIVITY FOR THAT SECTION, AND AS A RESULT (B) IS THE SUBJECT OF THAT FANTASTICAL ARTISTICALLY CREATIVE UNEQUIVOCALLY TRANSFORMATIVE SECTION OF THE FANTASTICAL ARTISTICALLY CREATIVE UNEQUIVOCALLY TRANSFORMATIVE GENERATIVE ARTWORK ARTISTS MEET ARTISTS.

THE ARTWORK ARTISTS MEET ARTISTS, AND EACH OF ITS INDIVIDUAL 25,600 SECTIONS, MAY INCLUDE TRADEMARKS OR TRADE NAMES OF MUSICAL ARTISTS.  USE OR DISPLAY BY ARTISTS MEET ARTISTS OF OTHER PARTIES’ TRADEMARKS OR TRADE NAMES IS NOT INTENDED TO AND DOES NOT IMPLY A RELATIONSHIP WITH, OR ENDORSEMENT OR SPONSORSHIP OF ARTISTS MEET ARTISTS BY THE TRADEMARK OR TRADE NAMES OWNERS. THE ARTISTIC RELEVANCE OF THE TITLE AND DESCRIPTION OF EACH INDIVIDUAL UNIQUE SECTION OF THE ARTWORK INCLUDING A NAMED VISUAL ARTIST’S (PAINTER’S) STYLE (SUCH AS “STYLE OF SALVADOR DALI” AND ITS TAG CODE INCLUDING THE NAME OF THAT VISUAL ARTIST (PAINTER) IS IT IS THAT VISUAL ARTIST’S (PAINTER’S) STYLE THAT (A) INSPIRED OUR FANTASTICAL IMAGINATION AND CREATIVITY FOR THAT SECTION, AND AS A RESULT (B) WAS REFERENCED WHEN WE CREATED THAT FANTASTICAL ARTISTICALLY CREATIVE UNEQUIVOCALLY TRANSFORMATIVE SECTION OF THE FANTASTICAL ARTISTICALLY CREATIVE UNEQUIVOCALLY TRANSFORMATIVE GENERATIVE ARTWORK ARTISTS MEET ARTISTS TO AS BEST AS WE COULD ARTISTICALLY, CREATIVELY AND STYLISTICALLY REFLECT THE PAINTING STYLE OF THAT VISUAL ARTIST (PAINTER).

THE ARTWORK ARTISTS MEET ARTISTS, AND EACH OF ITS INDIVIDUAL 25,600 SECTIONS, MAY INCLUDE TRADEMARKS OR TRADE NAMES OF VISUAL ARTISTS FOLLOWING THW WORDS ‘STYLE OF’ OR ‘IN THE STYLE OF’.  USE OR DISPLAY BY ARTISTS MEET ARTISTS OF OTHER PARTIES’ TRADEMARKS OR TRADE NAMES IS NOT INTENDED TO AND DOES NOT IMPLY A RELATIONSHIP WITH, OR ENDORSEMENT OR SPONSORSHIP OF ARTISTS MEET ARTISTS BY THE TRADEMARK OR TRADE NAMES OWNERS. It is reported that the musical artist Drake and the visual artist Damien Hirst met and worked together with Damien Hirst creating the album cover for Drake’s Certified Lover Boy cover, and that Hirst received 67,023 purchase requests for 10,000 NFTs and generated $20 million in revenue from the initial sale. Other than being inspirational for us, those events, and Drake and Damien Hirst, as further explained above, have absolutely nothing whatsoever to do with AMA or Artists Meet Artists or any 1 or more of the 25,600 sections therein that collectively is the artwork Artists Meet Artists, including but not limited any of the 25,600 sections therein that collectively is the artwork Artists Meet Artists that may be named Drake in the Style of Damien Hirst    1 or anything similarly named or so referenced.

Prospective buyers (you) acknowledge the above explanations, clarity, disclosures, disclaimers and limitations of AMA’s descriptions and our principled lawful use of the names of any musical artist (musician) and visual artist (painter) and their style contained in any manner within the fantastical transformative artwork Artists Meet Artists including but not limited to within any 1 or more of the 25,600 unique square sections within and that collectively is the artwork Artists Meet Artists, and you accept responsibility for carrying out any research to satisfy yourself as to the item(s) in which you may be interested purchasing, or that you do purchase.

4. VIEWING

Images of items offered for Online Purchase before production and framing are made available for viewing by you at www.ArtistsMeetArtists.com prior to your Online Purchase.

Digital images shared are for identification purposes only and cannot be used as precise indications of size or convey full information as to the condition of any individual item. We make every effort to display the colors of items available for Online Purchase as accurately as possible. The colors you see will, however, depend on the resolution of your monitor or of your mobile device. We cannot guarantee that your monitor’s display of, your mobile device’s display of, or any other device’s display of any color will reflect accurately the color of the item produced and delivered.

5. PRICES

The prices published for Online Purchase prior to review in the Cart do not include applicable shipping charges, or sales and any other taxes if any are applicable. We may, from time to time, offer a purchase price discount or reduced sale price promotion, any such pricing modifications, if any, being in our sole and absolute discretion, and with no advance notice required prior to a sale or other form of price decrease, or any price increase. No discount or sale price, if any ever occurs after your Online Purchase, shall ever be applied retroactively to any item previously ordered or purchased by you in any Online Purchase.

Prices we set as the Seller may not be relied upon by you as the Buyer as an opinion or statement of the value of any item(s) at any time prior to purchase, upon purchase, or as any prediction of the future value after your purchase of any item purchased through an Online Purchase, and prices may be revised from time to time by AMA in our absolute sole discretion. Neither AMA nor any of our affiliated companies shall be liable for any difference between (i) the Online Purchase price you pay for any item(s) and (ii) the price you may achieve upon a resale of any item(s), if any.

6. USING THE ONLINE PURCHASE PLATFORM AT WWW.ARTISTSMEETARTISTS.COM

Connectivity

You can complete an Online Purchase using the Artists Meet Artists online buying platform available at www.ArtistsMeetArtists.com. Our Online Purchase platform is optimized to run on Google Chrome, Firefox, Safari and Edge browsers.

While we do everything within our control to ensure your participation in an Online Purchase goes smoothly, technical problems beyond our reasonable control sometimes occur. These include, for example, broadband and other internet capacity constraints, corporate firewalls, errors in the quality or display of digital images, errors in software and other technical problems. AMA does not accept liability for any such difficulties or errors.

Purchase and Approval

You must be at least 18 years old to begin or complete an Online Purchase of any item(s).

Once you have (i) made your purchase selections and entered the required information for your Online Purchase, including but not limited to, for each item: the item, and your selection for the size, material (canvas or acrylic), and frame or mounting choices when available, and you have (ii) placed such item(s) you want to purchase in your Cart, you should then (iii) click on your Cart (or other links to access your Cart when available to you) to display the contents of your Cart, and then once you (iv) have reviewed each and every item and its size, material and frame or mounting choices you selected and the Online Purchase price for each item you want to purchase, as displayed to you in the Cart to be sure everything is correct and as you expected, and any additional costs for shipping, if any, or sales or other taxes, if any, you can then complete your Online Purchase by (v) clicking on ‘Proceed to Checkout’, and then in the form that becomes visible entering your name and other information we require for your Online Purchase, including your name and other personal information, the location in the continental USA or Canada at which you want to receive the items you purchased from us and the necessary payment information, then you can complete your purchase of the item(s) in your Cart by (vi) clicking on the ‘Place Order’ button in the Cart.

Upon your completion of any Online Purchase of any item(s), you will receive an email notification once your Online Purchase has been approved. AMA has absolute and sole discretion to decline or refuse any Online Purchase.

AMA may, in its sole discretion, modify or limit any one or more of the size, material, framing or mounting choices available for any item that is or otherwise was available for purchase, or may limit or increase the quantity of any item(s) available for sale to you or all buyers, or may temporarily or permanently remove any item or items that may thereafter no longer be available for sale.

By submitting an Online Purchase, you accept personal liability to pay the total Purchase Price including the purchase price of the item as determined by your choices for size, material, and framing or mounting, any other applicable charges, if any, shipping charges, if any, and sales and/or other taxes, if any.

Other than during the limited Cancellation Period discussed in Section 14 below, once submitted, all orders and purchases are final and cannot be amended, reduced, retracted, cancelled, returned or revoked. AMA is not responsible for any errors you make in purchasing.

By using the Online Purchase platform available at www.ArtistsMeetArtists.com, you, the buyer, represent, warrant and confirm that (i) unless otherwise expressly agreed in writing with AMA prior to your Online Purchase, that you are purchasing on your own behalf and not on behalf of anyone else (ii) that you will be paying the Purchase Price from your own funds (iii) that your participation in the Online Purchase and payment of the Purchase Price is lawful and shall not breach any applicable regulations or laws, and (iv) any purchase(s) made by you, or on your behalf, are not the product of any collusive or other anti-competitive agreement and are not unlawful or otherwise inconsistent with federal and state antitrust law, and are not in breach of any applicable state, federal or other jurisdictional law, government sanctions or other regulatory measures in force from time to time.

7. CONDUCT OF ONLINE PURCHASE

Actions AMA Can Take

AMA may take such actions, at any time it chooses, in its sole and absolute discretion it reasonably considers appropriate to ensure the Online Purchase platform runs smoothly, ideally profitably, and in accordance with any regulatory or legal obligations. Such actions may include but are not limited to:

• refusing to accept any purchase of any item(s);
• modifying the Purchase Price for any item(s);
• withdrawing any item(s) thereafter no longer available for Online Purchase;
• renaming, recategorizing, retagging or rearranging the order of items displayed on the Online Purchase platform; and
• in the case of an error or dispute and whether during or after your Online Purchase, we, AMA, the Seller, may continue to make the item(s) available for Online Purchase, may cancel the availability for Online Purchase of any item(s), or may reoffer and sell any item(s) to any other party(ies). If you believe that the Online Purchase platform has accepted a purchase of an item or its Purchase Price in error, you must provide a written notice detailing your claim within one (1) business day of the date of your Online Purchase of the item(s). AMA will consider such claim in good faith. If AMA, in the exercise of its sole discretion under this paragraph, decides after your Online Purchase is complete, to cancel your purchase of any item(s), or reoffer or sell the item(s) to another party or parties, AMA will notify you no later than three (3) business days of the date of your Online Purchase of the item(s). AMA decision in the exercise of this discretion is final. This paragraph does not in any way prejudice AMA’s ability to cancel the sale of any item(s) under any provision of these Conditions of Sale, including any other rights of cancellation we the seller may have set forth herein or under applicable law.

AMA has no liability to buyers (you) for any such actions which AMA may take during the Online Purchase. If any dispute arises after your purchase, our sale record is conclusive.

Currency

The Online Purchase will be conducted and invoiced in US dollars (USD) and all payments are due in USD.

8. PURCHASE AND PAYMENT

Calculating the Total Purchase Price

If you are the successful buyer of an item, you agree to pay us the Purchase Price of the item as determined by your selection for size, material, and mounting and/or framing, plus any other applicable charges, if any, shipping charges, if any, and sales and/or other taxes, if any (the “Purchase Price”).

9. SALES AND/OR OTHER TAXES

Sales tax, use tax and excise and other taxes are payable in accordance with applicable law. All prices, fees, charges and expenses set out in these Conditions of Sale are quoted exclusive of applicable taxes. AMA will only accept valid resale certificates from US dealers as proof of exemption from sales tax.

In accordance with state and local law, your Online Purchases will be taxed using the applicable sales tax or seller’s use tax rate for your shipping address. The tax listed during checkout is only an estimate. Your invoice will reflect the final total tax, which includes state and local taxes, as well as any applicable rebates or fees. 

10. Payment

Unless otherwise agreed, you are required to pay the Purchase Price for each purchased item immediately upon, and as a part of, completing your Online Purchase. Payments must be made in US dollars by an accepted major credit card, or by Apple Pay or Google Pay, or for purchases greater than $25,000 by US bank or wire transfer sent directly to AMA. As a courtesy to clients, AMA will accept American Express, Visa, MasterCard or Apple Pay to pay for invoices of $25,000 or less.

Bank transfer details may be available upon our approval of your request.

Ownership of a purchased item will not pass from AMA (us) to the buyer (you) until AMA has received the Purchase Price for that item in cleared funds. AMA is not obliged to release any item to you until ownership of the item has passed and appropriate identification has been provided, and any earlier release does not affect the passing of ownership or your unconditional obligation to pay the Purchase Price.

11. Delivery and Conditions

AMA will not authorize delivery of any item(s) for which you are the buyer until we have received payment of the Purchase Price in full and cleared funds, you have paid all outstanding amounts due to AMA or any of our affiliated companies, including any charges payable pursuant to these Conditions of Sale for Online Purchases, and you have satisfied such other terms as we in our sole discretion shall require, including completing any anti-money laundering or anti-terrorism financing checks.

Purchased items are at the buyer’s (your) risk, including the responsibility for insurance, upon delivery of the item(s) purchased to the address you the buyer provided during your Online Purchase. Until delivery of the item(s) to the address you provided to us, subject to what may occur, in its sole and absolute discretion AMA may either replace the item(s) or compensate you for any loss or damage to a purchased item up to a maximum of the Purchase Price paid, subject to any and all of our rights as discussed within these Conditions of Sale.

AMA and/or third-party shippers (such as USPS, UPS or Fed Ex) may require presentation of government issued identification prior to release of an item to you or your authorized representative.

AMA will not be liable for acts or omissions of third-party shippers. When your package is delivered, if there is damage to the outside of the box, please note it to the driver and sign it damaged.

The knowledge of AMA in relation to each item purchased to then be produced and delivered to you is partially dependent upon information provided to us by one of our third-party fine art production and framing service providers who produce and ship the item(s) purchased directly to you or to someone for whom you purchase and gift an artwork, and AMA is not able to and does not carry out oversight of each or any item as it is produced, be it on canvas or acrylic, of any particular size, art wrapped, framed, mounted or otherwise completed and then shipped to you by third party such as USPS, Fed Ex, UPS or other such trusted delivery services.

Information provided regarding any item available for Online Purchase, including in the descriptions at www.ArtistsMeetArtists.com or elsewhere (if available) and whether written or oral is not a representation of fact but rather a statement of opinion held by AMA.

You agree that each item is sold “as is” and in the condition that it is in at the time it is produced for and shipped to you following your Online Purchase, subject to your time limited cancellation right set forth in paragraph 14 below. The absence of reference to the condition of an item available for Online Purchase does not imply that the artwork is free from faults or imperfections. If an item for an Online Purchase is ordered and purchased framed, AMA accepts no liability for the condition of the frame. If we sell any item unframed, you the purchaser may choose to have your purchased artwork framed by any professional framer that you choose, solely at your cost and your responsibility.

AMA accepts purchases for one or more items on the basis that buyers, you (and independent experts on your behalf, to the extent appropriate given the nature and value of the item(s) and the buyer’s, your, own expertise) have fully satisfied yourself as to the buyer’s (your) choices of artwork(s), material (each individually produced for your custom order on either canvas or acrylic), size (ranging from 12” x 12” to 96” x 96”), framing and mounting (types, styles and/or colors) and the accuracy of the artwork(s) description prior to your purchase of the item(s).

Please note that all dimensions included in the Online Purchase descriptions are approximate.

12. FAILURE TO ACCEPT DELIVERY OR INCORRECT DELIVERY INSTRUCTIONS

If the you provided an incorrect address or delivery instructions during your Online Purchase, or you do not accept delivery of any item(s) for which you are the buyer, you will incur additional shipping fees and a daily storage fee of $10 per day for each undelivered or unaccepted item. Additional charges may apply to larger items. We will not release purchased items to you until the Purchase Price and all charges have been paid in full.

If a purchased item is paid for but delivery is not accepted by you within three months of your Online Purchase, you authorize AMA, upon notice, to attempt to and if possible arrange a resale of the item by any method of sale, at AMA’s sole and absolute discretion. The proceeds of such sale will be applied to pay for storage charges and any other outstanding costs and expenses owed by you to AMA or our affiliated companies and the remainder will be forfeited unless collected by you within two years of the original Online Purchase.

13. REMEDIES FOR NON-PAYMENT

Without prejudice to any rights we the seller may have, if you the buyer fail to pay the Purchase Price for an item in cleared funds immediately upon completing your Online Purchase, we may in our sole discretion exercise one or more of the following remedies:

(a)  store the item(s) at AMA’s premises or elsewhere at the buyer’s (your) sole risk and expense;

(b)  cancel the sale of the item(s), retaining any partial payment of the Purchase Price as liquidated damages;

(c)  resell the item(s), it being understood that in the event such resale is for less than the original Purchase Price for that item(s), the buyer will remain liable for the shortfall together with all costs incurred in such resale;

(d) commence legal proceedings to recover the Purchase Price for the item(s), together with interest and the costs of such proceedings, including but not limited to our attorney’s fees and related costs;

(e)  take such other action as we deem necessary or appropriate.

14. TIME LIMITED CANCELLATION RIGHT

You may cancel your purchase of an item you purchased and paid for using the Online Purchase platform only until the earlier of (i) the item being entered into production as determined by us in our sole and absolute discretion or (ii) within one (1) day of the date you completed your purchase and paid for it using the Online Purchase platform, the “Cancellation Period”.

To exercise your right to cancel your purchase of an item that you purchased and paid for using the Online Purchase platform, we must receive your written notice prior to the expiration of the Cancellation Period. Your written notice should be sent during the Cancellation Period to help@ArtistsMeetArtists.com. The notice should state your name; your residential or business address; contact details; invoice number; a description of the item; and that you wish to exercise your cancellation right, and if possible, please tell us why for our education and assisting our mission to whenever possible make our excellent customer service even better.

Any purchase(s) you made using the Online Purchase platform at www.ArtistsMeetArtists.com that you choose or need to cancel during the time limited Cancellation Period is subject to a ten percent (10%) cancellation fee paid by you (deducted from any refund we may pay to you) to cover our processing fees and administrative costs incurred when and after an order is placed. 

15. THE ARTWORKS YOU PURCHASE AT WWW.ARTISTSMEETARTISTS.COM ARE MADE TO ORDER FOR YOU AND MAY NOT BE RETURNED OR REFUNDED

Please note that each item you purchase using the Online Purchase system at www.ArtistsMeetArtists.com is a made-to-order bespoke transformative artwork custom designed by you (size, material, mount-framing), produced for you, and is not eligible for return or refund.

16. AMA’s RIGHT TO CANCEL THE SALE OF AN ITEM

AMA has the right to cancel the sale of an item in our absolute and sole discretion prior to its delivery to you. Upon notice of AMA’s election to cancel the sale, we will refund the Purchase Price paid by you. The refund will constitute the sole remedy and recourse of the buyer (you) against AMA and its affiliates with respect to such cancelled sale.

17. PRIVACY

(a)  You acknowledge and understand that we may process your personal data (including potentially special category data) in accordance with our privacy policy from time to time as published at www.ArtistsMeetArtists.com or available by emailing privacy@ArtistsMeetArtists.com.

(b)  Our privacy policy sets out: (i) the types of personal data we will or may collect and process; (ii) the purposes for which we will or may process your personal data (including for example the provision of sales and related services; the performance and enforcement of these terms and conditions; the carrying out of identity and credit checks; keeping you informed about upcoming exhibitions and special events; and generally where reasonably necessary in the management and operation of our business); (iii) the lawful basis on which we rely in undertaking our processing of your personal data; (iv) your rights in respect of our processing of your personal data; and (v) various other information as required by applicable laws.

(c)  Your communications with AMA, including online (e.g. Online Purchase, email, chat, telephone) may be recorded for security, client service and sales monitoring purposes. Where we record such information, we will process it in accordance with our Privacy Policy available at www.ArtistsMeetArtists.com.

18. LIMITATION OF LIABILITY

(a)  Subject to sub-paragraph (e) below, the maximum amount of any liability of AMA to the buyer (you) in connection with the Online Purchase of an item, if any, shall be limited to the Purchase Price actually paid by the buyer (you) for the item.

(b)  Except as otherwise provided in this paragraph, none of AMA or our affiliated companies (i) is liable for any errors or omissions, whether orally or in writing, in information provided to prospective buyers (you) by AMA or any of our affiliated companies; or (ii) accepts responsibility to any buyer (you) in respect of acts or omissions, whether negligent or otherwise, by AMA or any of our affiliated companies in connection with the conduct of the Online Purchase platform at www.ArtistsMeetArtists.com or for any other matter relating to the sale of any item.

(c)  All warranties, express or implied, including any warranty of satisfactory quality and fitness for purpose, are specifically excluded by AMA as the seller and our affiliated companies to the fullest extent permitted by law.

(d)  Subject to subparagraph (e) below, none of AMA or our affiliated companies shall be liable to the buyer (you) for any loss or damage beyond the refund of the Purchase Price referred to in subparagraph (a) above, whether such loss or damage is characterized as direct, indirect, special, incidental or consequential, or for the payment of interest on the Purchase Price to the fullest extent permitted by law.

(e)  No provision in these Conditions of Sale will be deemed to exclude or limit the liability of AMA or any of our affiliated companies to the buyer (you) in respect of any fraud or fraudulent misrepresentation made by any of us or in respect of death or personal injury caused by our negligent acts or omissions.

• The item(s) you purchase using the Online Purchase platform at www.ArtistsMeetArtists.com do not have a warranty because the items are mounted unframed or framed canvas or acrylic prints and are susceptible to hanging environments outside of our control and thus we cannot warranty the lifespan of our products. Our fine art production vendors have many years of experience in the industry, utilizing best practices to produce our products; it is imperative that when you receive your order, you take the utmost care to ensure longevity. This means hanging your products in a temperature-controlled environment with proper humidity, avoiding hanging in direct sunlight or exposed to vents, and taking the time and care to hang your product properly. 19. COPYRIGHT

The copyright in all images, illustrations and written materials produced by or for AMA relating to an item, including the contents of the Online Purchase catalogue and sale specifics, is and shall remain at all times the property of AMA and, subject to the provisions of the Copyrights, Designs and Patents Act of 1988, such images and materials may not be used by you or any other party without our prior written consent. AMA and the seller make no representations or warranties that the buyer of an item will acquire any copyright or other reproduction rights in an item.

20. GENERAL

(a)  These Conditions of Sale (as may be amended from time to time) set out the entire agreement between AMA and buyers of one or more items using the Online Purchase platform at www.ArtistsMeetArtists.com and supersede all prior and contemporaneous written, oral or implied understandings, representations and agreements.

(b)  Notices to AMA must be in writing and sent by email to help@www.ArtistsMeetArtists.com. Notices to clients will be in writing and addressed to the last address provided by you to AMA.

(c)  These Conditions of Sale are binding on buyers (you) and are not transferable by them (you) to any other person, including their (your) successors, assigns or representatives. AMA may transfer its rights under this agreement.

(d)  If any of these Conditions of Sale is found to be void, invalid or unenforceable for any reason, the remaining provisions will remain in full force and effect. No failure or delay by any party to exercise any right or remedy under these Conditions of Sale for Online Purchase will act as a waiver or release of that right or remedy in whole or in part.

21. LAW AND JURISDICTION

(a)  The rights and obligations of the parties with respect to these Conditions of Sale, the conduct of the Online Purchase platform and any matters arising out of or in connection with the Online Purchase platform at www.ArtistsMeetArtists.com will be governed by and interpreted in accordance with New York law, excluding its conflicts of law rules.

(b)  AMA and all buyers (you) agree to the exclusive jurisdiction of the (i) state courts of the State of New York located in New York City and (ii) the federal courts for the Southern and Eastern Districts of New York to settle all disputes arising in connection with all aspects of all matters or transactions to which these Conditions of Sale relate or apply.

(c)  All buyers (you) irrevocably consent to service of process or any other documents in connection with proceedings in any court by personal service, delivery by mail or in any other manner permitted by New York law or the law of the place of service, at the last address for you known to AMA.
